Corporate governance

Royal Ykold adheres to the Dutch Corporate Governance Code and maintains the highest standards of transparency, accountability, and ethical conduct. Our two-tier board structure provides robust oversight of executive management.

The Supervisory Board consists of nine independent non-executive members with broad expertise in finance, technology, sustainability, and international business. No more than one-third may share any single nationality.
Executive remuneration is linked to long-term performance including sustainability KPIs. The policy is reviewed annually and approved by shareholders at the AGM.
Our Enterprise Risk Management framework identifies, assesses, and manages strategic, operational, financial, and reputational risks across all business segments. The Risk Committee reports quarterly to the Supervisory Board.
Royal Ykold maintains a zero-tolerance policy on bribery and corruption. Our global compliance programme includes training, monitoring, and a confidential whistleblower hotline available in all operating countries.
